Terms of Service

1. Acceptance

By accessing or using Agenlly ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Platform. These terms apply to all users — operators who install and use agents, and creators who publish agents.

The Platform is operated by Binnovative Technologies Private Limited ("the Company", "we", "us", "our"), a company incorporated under the laws of India.

2. What Agenlly Is

Agenlly is an AI agent marketplace and runtime platform. We host AI agents built by third-party creators, allow operators to run those agents via a credit-based billing model, and provide the underlying compute, routing, and metering infrastructure.

We are not responsible for the outputs, accuracy, or behavior of third-party agents. Use agent outputs at your own discretion.

3. Accounts

You must provide accurate information when creating an account. You are responsible for maintaining the security of your account credentials. Notify us immediately at contact@agenlly.com if you suspect unauthorized access.

We reserve the right to suspend or terminate accounts that violate these terms.

4. Credits and Billing

The Platform operates on a credit-based system. Credits are purchased through Paddle, our Merchant of Record. By purchasing credits, you agree to Paddle's buyer terms in addition to these terms.

• Credits are non-transferable and have no cash value.
• Credits do not expire.
• Consumed credits are non-refundable. See our Refund Policy for unused credit refunds.
• All prices are in USD. Taxes are collected by Paddle where applicable.

5. Acceptable Use

You agree not to use the Platform to:

• Generate illegal, harmful, or abusive content.
• Attempt to reverse-engineer, scrape, or extract agent models or logic.
• Circumvent rate limits, credit checks, or access controls.
• Use the platform for automated abuse, spam generation, or denial-of-service attacks.
• Violate any applicable law or third-party rights.

We may suspend access without notice for violations.

6. Intellectual Property

The Agenlly platform, branding, and infrastructure are owned by Agenlly. Agents published by creators remain the intellectual property of their respective creators. You retain ownership of inputs you provide; you grant Agenlly a limited license to process them for service delivery.

7. Disclaimers

The Platform is provided "as is" without warranties of any kind. We do not guarantee uptime, accuracy of AI outputs, or fitness for a particular purpose. AI agents may produce incorrect, incomplete, or inappropriate responses.

8. Limitation of Liability

To the maximum extent permitted by law, Agenlly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform. Our total liability shall not exceed the amount you paid in the 30 days preceding the claim.

9. Changes to Terms

We may update these terms at any time. Continued use of the Platform after changes constitutes acceptance. Material changes will be communicated via email or a notice on the Platform.
